PROPOSED – lawyer review Clauses carrying this label, and the highlighted values in them (entity, contacts, governing law, periods), are proposed wording awaiting review by a lawyer. They are published so that the text is complete; the operator removes each label once counsel has approved the clause.
1. Scope PROPOSED – lawyer review
This policy forms part of the Terms of Service between you and Impararia Solutions. It applies to everyone who uses ClearPath, including every member of a workspace and anyone who signs or views a document through a link we send. Words defined in the Terms of Service have the same meaning here.
2. Prohibited content PROPOSED – lawyer review
You must not upload, store, create, share or transmit through the service any content that:
- 2.1 is, or depicts, child sexual abuse material, or sexualises minors in any way;
- 2.2 is unlawful in a jurisdiction that applies to you, to the people it concerns or to us, including content that is defamatory, fraudulent, or that incites violence, terrorism or hatred;
- 2.3 infringes any intellectual-property right, confidentiality obligation or privacy right — including tender documents, contracts or résumés you are not authorised to hold or share;
- 2.4 contains personal data that you have no lawful basis to process through the service, including special categories of personal data (for example health data or criminal records in a résumé) without the safeguards the law requires;
- 2.5 contains viruses, malware, malicious macros, exploits or code designed to harm, disrupt or gain unauthorised access to any system, or is deliberately disguised as a different file type;
- 2.6 breaches applicable sanctions or export-control laws, including technical data or software that may not lawfully be stored or processed as the service stores and processes it; or
- 2.7 is used to deceive a contracting authority, a client or any other person — for example forged certificates, falsified references or a résumé that misrepresents a person’s qualifications.
3. Prohibited conduct PROPOSED – lawyer review
You must not:
- 3.1 attempt to access another workspace’s data, bypass authentication or access controls, or probe, scan or test the service for vulnerabilities without our written permission;
- 3.2 circumvent or attempt to circumvent the service’s file inspection, rate limits, plan limits or other safeguards;
- 3.3 reverse engineer, resell, sublicense or provide the service to a third party except as the Terms allow;
- 3.4 use the service to send unsolicited messages, or scrape or load it at a volume that degrades it for others;
- 3.5 use the service, including its AI features, to build a competing product, or present AI output as independently verified;
- 3.6 attempt to make the assistant or any AI feature act outside your permissions, or embed instructions in documents intended to manipulate AI features used by others;
- 3.7 use the service on behalf of, or for the benefit of, a person or entity subject to applicable sanctions; or
- 3.8 encourage or help anyone else to do any of the above.
4. How we enforce this policy PROPOSED – lawyer review
Uploaded files are inspected automatically, and a file that fails inspection may be refused, made available for download only, or quarantined, as section 7A of the Terms of Service describes. We may also act on a breach of this policy as set out in sections 7, 7A and 7B of the Terms of Service, including by removing content, pausing uploads and suspending or terminating accounts or workspaces. We act proportionately to the seriousness of the breach and, where the Terms say so, give you a statement of reasons and a way to contest the decision.
5. Reporting PROPOSED – lawyer review
If you see content in ClearPath that you believe breaches this policy or the law, report it. Inside the application, use the Report control beside the file or image; on a signing page, use Report this document. Without an account, write to us through our contact page (subject “Abuse report”). A person on our platform team reviews every report. Report security vulnerabilities through our contact page (subject “Security”). The notice-and-takedown process, including how to contest a decision, is in section 7B of the Terms of Service.
6. Liability PROPOSED – lawyer review
Section 12 (Limitation of liability) and section 13 (Indemnity) of the Terms of Service apply to this policy.
7. Changes PROPOSED – lawyer review
We may update this policy as described in section 15 of the Terms of Service. When a new version is published, the application asks you to accept it before you continue.
